Confidential Information includes all non-public information disclosed during the course of business, whether written, oral, or electronic.

This includes but is not limited to business strategies, technical data, financial information, customer data, and proprietary materials.
Obligations of Confidentiality

All confidential information shall be kept strictly confidential and shall not be disclosed to any third party without prior written consent.

Confidential information shall only be used for the purpose of fulfilling contractual obligations.

Reasonable security measures must be implemented to protect confidential information from unauthorized access.
Exclusions from Confidential Information

Information that is publicly available without breach of this agreement shall not be considered confidential.

Information lawfully obtained from a third party without restriction is excluded from confidentiality obligations.
Data Protection & Security

Appropriate administrative, technical, and physical safeguards shall be implemented to protect sensitive data.

Access to confidential data will be limited only to authorized personnel.
Termination of Agreement

Upon termination of the agreement, all confidential materials must be returned or securely destroyed.

Confidentiality obligations shall survive termination of the agreement.
